For submissions from April 1, 2026 to March 31, 2027, the Inland Revenue Department (IRD) lists a one-year Business Registration Certificate fee of HKD 2,200 plus an HKD 150 levy.

These two government charges total HKD 3,895, excluding professional services. Paper incorporation attracts a different fee.

ACRA charges SGD 15 for name reservation and SGD 300 for company registration. The combined SGD 315 does not cover a resident director, registered office, company secretary, or bookkeeping.

Both rates are starting points for a tax calculation. Your effective tax depends on chargeable profits, income source, relief eligibility, and any exposure in countries where you manage the business.

Hong Kong’s Two-Tier Profits Tax

According to IRD, an eligible corporation pays 8.25% on the first HKD 2 million of assessable profits and 16.5% above that.

Where connected entities exist, generally only one elected entity can use the two-tier rates for the same year of assessment. Concessionary regimes may affect eligibility.

Hong Kong does not levy VAT or GST. IRD examines the operations generating a profit and where they take place when determining the source of profits.

An overseas customer or payment does not establish an offshore tax exemption.

Singapore’s Corporate Income Tax and Startup Relief

IRAS charges a headline 17% on chargeable income.

Under the start-up tax exemption, an eligible company can exempt 75% of its first SGD 100,000 and 50% of its next SGD 100,000 of normal chargeable income in its first three consecutive Years of Assessment (YAs).

The company must be incorporated in Singapore, qualify as a tax resident for that YA, and meet ownership requirements. Companies principally engaged in investment holding or specified property development do not qualify.

IRAS assesses any annual rebate by YA; it is not a permanent adjustment to the 17% rate.

IRAS applies 9% GST to standard-rated supplies by GST-registered businesses. Other supplies may be zero-rated, exempt, or out of scope. GST registration is a separate test from incorporation, including the general retrospective or prospective taxable-turnover threshold above SGD 1 million.

Resident Directors, Bank Accounts, and Management Substance

You can begin either registration process from overseas. For banking and tax, document who manages the company and which countries its customers and suppliers operate in.

Hong Kong: Local Secretary and Registered Office

The Companies Registry permits nonresident directors of private companies. You still need a Hong Kong registered office and eligible company secretary from incorporation. A sole director cannot also serve as company secretary.

Hong Kong companies generally maintain a Significant Controllers Register and appoint an eligible designated representative. Ask whether preparing and updating that register is covered by the formation package.

Foreign founders can prepare their applications remotely. Traditional banks may request an in-person beneficial-owner interview and supporting contracts. Each bank applies its own KYC checks; incorporation does not guarantee account approval.

Singapore: Resident Director Duties and Tax Residency

ACRA requires at least one director ordinarily resident in Singapore. The condition does not mean the director must hold Singapore citizenship. Foreign founders using an incorporation agent should confirm that the agent is a registered corporate service provider.

A nominee director still carries statutory director duties. Agree on decision-making authority and access to records before appointment. Singapore also requires controller registers and, where applicable, nominee director and shareholder registers.

IRAS looks at where the company exercises control and management when assessing tax residency. A registered office and nominee director alone do not establish the outcome.

ACRA requires public access to a Singapore registered office for at least three hours each business day during normal business hours so it can receive official documents.

Annual Compliance After Your Company Is Registered

Year two brings costs that a formation price may not show: local officers, bookkeeping, and annual filings. Ask for a renewal breakdown before signing the first-year agreement.

Hong Kong: Annual Return, BRC, Financial Statements, and Audit

A Hong Kong private company generally maintains accounting records, prepares audited financial statements unless an exemption applies, renews its BRC, and meets its profits tax duties.

The Companies Registry requires an annual return within 42 days after the incorporation anniversary in each year after the incorporation year. The on-time filing fee is HKD 105; late returns incur higher registration fees.

No sales do not automatically make a Hong Kong company legally dormant. Companies Registry rules involve a formal process, including a special resolution delivered to the Registry. Check IRD filing and BRC renewal obligations separately.

Singapore: Annual Return, Tax, and Small Company Audit Exemption

A non-listed Singapore Pte. Ltd. generally files its ACRA annual return within seven months after financial year end (FYE). The return remains due while the company is live, even if inactive or dormant.

ACRA lists an SGD 60 filing fee; IRAS tax returns are separate.

ACRA’s small company audit exemption applies to a private company meeting two of three size tests: annual revenue no more than SGD 10 million, total assets no more than SGD 10 million, or at most 50 employees.

Established companies use the preceding two consecutive financial years; new companies follow first-year rules. If the company belongs to a group, ACRA assesses the entire group, including foreign entities, against the small-group criteria.

Audit exemption does not cancel bookkeeping, annual returns, or applicable financial statement requirements.

IRAS generally requires Estimated Chargeable Income (ECI) filing within three months after FYE unless a waiver or another exception applies. One waiver requires annual revenue of SGD 5 million or less and nil ECI.

Review Form C-S, C-S (Lite), or C obligations on their own terms.

According to ACRA, a company without audit exemption generally appoints an auditor within three months after incorporation. It appoints a company secretary within six months. Audit exemption and financial statement filing exemption are different tests.

For physical goods, verify the product’s origin, classification, and destination import rules. Routing an invoice through a Hong Kong Ltd. does not turn Mainland-made goods into Hong Kong-origin goods.

Do not forecast a CEPA tariff preference without checking the applicable product rules.

Scenario 2: A Software Company Serving Multiple ASEAN Markets

A software firm serving several ASEAN markets may evaluate Singapore for regional contracting. Budget for an eligible resident director, company administration, and the actual location where management makes decisions.

Scenario 3: A Founder Running Everything from Jakarta

A founder who still runs operations and management from Jakarta should describe what the overseas entity will do. International contracts, customer access, or fundraising may support a commercial case. The incorporation address alone cannot determine the tax bill.

Founders who remain Indonesian tax residents or operate businesses in Indonesia need separate cross-border tax analysis.

Review individual and corporate tax status, where work and management occur, permanent establishment exposure, foreign-entity income or ownership rules, dividends, and treaty provisions where relevant. Outcomes depend on the actual facts.
