An Individual PT is a separate legal entity established by one eligible Indonesian citizen. A CV requires at least two partners with different legal roles and liability exposure.

For Indonesian entrepreneurs, the choice affects ownership, contracts, business debts, and future expansion. If you are a foreign entrepreneur researching these structures, there is another consideration: an Individual PT is reserved for Indonesian citizens and cannot serve as a foreign investment vehicle.

Tax treatment has also changed. Government Regulation No. 20 of 2026 allows qualifying Individual PTs to use the 0.5% final income tax scheme without a fixed time limit. For a broader explanation of the latter, see our guide to the differences between PT and CV business structures in Indonesia.

Legal Status and Personal Liability

The legal distinction matters most when a company borrows money, owes suppliers, or cannot fulfill a contract. The business owner’s exposure is different under each structure.

An Individual PT Has Separate Legal Entity Status

Government Regulation No. 8 of 2021 allows an eligible Indonesian citizen to establish an Individual PT, known in Indonesian regulations as a Perseroan perorangan.

Once the company obtains legal entity status, it has a legal identity separate from its shareholder. Company assets and liabilities should be recorded under that identity.

Consider a freelance designer who establishes an Individual PT and purchases equipment for the business. The equipment belongs to the company when acquired on its behalf, while the shareholder retains ownership of the shares.

Article 3 of Law No. 40 of 2007 on Limited Liability Companies establishes the general principle of limited shareholder liability, subject to the applicable amendments and exceptions.

That protection is not absolute. Misusing the company for personal purposes or engaging in conduct covered by the statutory exceptions can create personal liability.

A personal guarantee is a separate matter. If the shareholder personally guarantees a business loan, the guarantee may create obligations that limited shareholder liability would not otherwise impose.

Keeping proper accounts and separating business transactions from personal spending helps maintain clear records of the company’s financial position.

For more background, read our article on what an Individual PT is and how it works in Indonesia.

A CV’s Active Partners Face Personal Liability

A CV, or Commanditaire Vennootschap, has two categories of partners: complementary partners and limited partners.

Complementary partners, commonly called active partners, manage the business and represent it in dealings with third parties.

Limited partners, also called passive partners, contribute capital without exercising the management authority reserved for active partners.

Under Minister of Law Regulation No. 25 of 2025, complementary partners are jointly and severally liable to third parties, including through their personal assets.

Limited partners generally bear losses up to the capital they have contributed or remain obliged to contribute, provided they comply with their legal role.

Articles 20 and 21 of Indonesia’s Commercial Code (KUHD) restrict limited partners from managing the partnership, including through a power of attorney. A violation can expose them to joint and several liability for the CV’s debts and obligations.

Imagine two people establishing a catering business. One manages suppliers, signs contracts, and deals with customers. The other contributes capital without becoming involved in management.

A CV can accommodate that arrangement. The partners must still understand that their liability exposure is different.

Also Read: Commanditaire Vennootschap (CV): Definition, Partners, and Establishment

Notes From vOffice Consultants

Before preparing a CV deed, decide who will sign contracts, control the business account, and approve major purchases. The active and passive partner roles should match how the business will actually operate. If both founders want management authority and defined ownership interests, include a standard PT in the discussion.

Founder and Capital Requirements

An Individual PT and a CV have different founder requirements. Their capital arrangements also follow different legal structures.

Individual PT Founder Requirements

Article 6 of Government Regulation No. 8 of 2021 requires an Individual PT founder to be an Indonesian citizen who is at least 17 years old and legally competent.

The company must also qualify as a micro or small enterprise under the applicable rules.

The founder serves as the company’s sole shareholder and director. An Individual PT cannot be established with two shareholders from the outset.

Foreign nationals cannot use an Individual PT as a vehicle for foreign share ownership. A business involving foreign shareholders must assess the relevant foreign investment framework.

An Individual PT Has Capital Payment Obligations

Government Regulation No. 8 of 2021 allows the founder to determine the company’s authorized capital. There is no single minimum authorized capital amount that applies to every Individual PT.

However, Article 4 requires at least 25% of the authorized capital to be issued and fully paid.

Valid proof of the capital payment must be submitted electronically to the Minister within 60 days of completing the Statement of Establishment.

For example, suppose a founder declares IDR 20 million in authorized capital. The minimum issued and fully paid capital would be IDR 5 million.

This is a calculation example, not a recommended capital amount. Actual capital should reflect the business’s operating needs and any sector-specific requirements.

Micro and Small Enterprise Thresholds

Government Regulation No. 7 of 2021 sets the criteria used to classify micro and small enterprises.

Article 35 distinguishes business capital from annual sales. The applicable measure depends on the purpose of the classification and the governing requirements.

Category

Business Capital

Annual Sales

Micro enterprise

Up to IDR 1 billion

Up to IDR 2 billion

Small enterprise

More than IDR 1 billion up to IDR 5 billion

More than IDR 2 billion up to IDR 15 billion

The business capital figures exclude land and buildings used as business premises.

Do not treat authorized capital, paid-up capital, business capital, and annual turnover as interchangeable figures. They serve different purposes under Indonesian company and business regulations.

CV Capital Is Determined by the Partners

A CV does not have one universal minimum capital amount for every business activity.

The partners agree on their contributions and record the relevant arrangements in the establishment deed.

They should also consider working capital, financing requirements, and any industry-specific conditions before deciding how much to contribute.

Also Read: Requirements for Establishing an Individual PT in Indonesia: 2026 Update

Planning to Establish a CV With a Business Partner?

Review the deed and registration scope with vOffice’s company formation team, backed by over 20 years of regional experience.

View CV Registration Packages

Ask About CV Setup on WhatsApp

Registration Procedures and Establishment Costs

An Individual PT can be established electronically without a notarial deed at the initial formation stage. A CV requires a notarial deed and registration through the Ministry of Law.

Individual PT Registration

The founder completes an electronic Statement of Establishment through Indonesia’s Legal Entity Administration System, known as SABH.

Government Regulation No. 8 of 2021 refers to a certificate of registration. Minister of Law Regulation No. 49 of 2025 also contains provisions concerning a decision on establishment.

Founders should therefore check the actual documents issued through SABH and confirm which documents are included in their registration package.

Company formation is followed by capital payment obligations, tax administration, and business licensing appropriate to the intended activities.

CV Registration

Minister of Law Regulation No. 25 of 2025 governs the registration of CVs through the Business Entity Administration System, or SABU.

The regulation replaced Minister of Law and Human Rights Regulation No. 17 of 2018.

Founders or partners submit the registration through a notary. Under Articles 4 through 8, the application must be submitted within 60 calendar days of signing the establishment deed.

The resulting registration document is a Surat Keterangan Terdaftar (SKT), or Certificate of Registration.

A CV does not receive a decree granting limited liability company status. Its registration and legal classification are different from those of a PT.

Also Read: How to Establish a CV in Indonesia: Requirements and Registration Guide

Compare the Full Cost, Not Just the Registration Fee

Formation costs depend on the structure and the services included in the provider’s quotation.

Ask for a written breakdown covering the following items:

Government charges: Official non-tax state revenue fees, commonly called PNBP, for the applicable registration services.

Notarial services: Preparation and execution of the CV deed or other notarial acts required for the chosen structure.

Tax administration: Registration and related assistance involving the company tax identification number, or NPWP.

Business licensing: Assistance with the Business Identification Number (NIB) and any additional permits included in the package.

Business address: Office rental, virtual office services, and related documents where required.

Sector-specific requirements: Additional permits or professional services depending on the actual business activity.

A lower formation quote may cover fewer deliverables. Confirm the documents and services you will receive before comparing package prices.

Ongoing Compliance After Registration

Neither structure becomes maintenance-free once it has been registered. The owner or partners must continue meeting the obligations applicable to the business.

Individual PT Financial Reporting to the Ministry of Law

Article 27 of Minister of Law Regulation No. 49 of 2025 requires an Individual PT to submit financial statements to the Minister through SABH.

The submission deadline is six months after the end of the accounting period.

The prescribed reporting information includes the statement of financial position, income statement, and notes to the financial statements.

This reporting obligation is separate from the company’s income tax return.

Article 28 provides for administrative sanctions when an Individual PT fails to submit the required statements. These include written warnings, suspension of access to services, and eventual revocation of legal entity status under the prescribed stages and deadlines.

CV Accounting and Tax Obligations

A CV remains a corporate taxpayer even though it does not have separate legal entity status under Indonesian company law.

Its tax administration, accounting records, and reporting must follow the applicable rules.

Changes in partnership composition or registered information may also require amendments to the deed and the relevant registration records.

Individual PT vs CV Tax Treatment in 2026

Government Regulation No. 20 of 2026 took effect on April 22, 2026. It amended Government Regulation No. 55 of 2022 and changed which businesses can access Indonesia’s 0.5% final income tax scheme.

The distinction matters because the new rules do not treat every registered small business in the same way.

An Eligible Individual PT Can Use the 0.5% Final Tax Rate Without a Fixed Time Limit

Articles 56 and 57 of Government Regulation No. 20 of 2026 allow qualifying taxpayers, including eligible Individual PTs, to use a final income tax rate of 0.5% on qualifying gross business turnover.

The regulation deleted Article 59 of Government Regulation No. 55 of 2022, removing the previous fixed eligibility period for qualifying Individual PTs.

An Individual PT can continue using the scheme while it remains eligible. Incorporation alone does not establish that eligibility.

Among the conditions to review are:

The relevant gross turnover used to assess the IDR 4.8 billion threshold.

Whether the taxpayer has elected the ordinary income tax regime under the applicable procedure.

Whether the founder has specialist expertise and the company provides services of the same kind as the founder’s freelance professional work.

Whether the company receives another income tax facility covered by an exclusion under Article 57.

Whether the founder has other Individual PTs whose turnover must be included in the eligibility calculation.

For example, a tax consultant who establishes an Individual PT to provide tax consulting services must consider the professional-services exclusion in Article 57(2)(b).

This does not mean that every service business is excluded. The relevant circumstances include the founder’s specialist expertise and the type of services provided by the company.

The IDR 4.8 Billion Threshold Is Not a Separate Allowance for Every Individual PT

Article 58 of Government Regulation No. 20 of 2026 sets out how gross turnover is determined for eligibility purposes.

The calculation considers total gross turnover from business and freelance professional services in the preceding tax year. It includes revenue subject to final and nonfinal income tax, as well as foreign-source turnover covered by the provision.

Article 57(2)(e) also requires the relevant turnover of an individual founder and all Individual PTs established by that individual to be considered together.

For married taxpayers in the specific circumstances described in Article 58(2), Article 58(3) provides additional rules for combining the turnover of the spouses and their Individual PTs.

Suppose a founder has a personal trading business and two Individual PTs. The founder cannot automatically treat each company as having an independent IDR 4.8 billion allowance.

The relevant combined turnover must be assessed under the regulation.

Transitional Relief for Certain Individual PTs in 2026

Article II(1)(f) of Government Regulation No. 20 of 2026 provides transitional treatment for certain taxpayers who used the final income tax scheme under the previous regulation.

An Individual PT affected by the new professional-services or turnover-aggregation exclusions may continue using the scheme until the end of Tax Year 2026 if it meets the transitional conditions.

This is not an automatic entitlement for every newly established company.

Tax registration dates, previous use of the scheme, and the taxpayer’s circumstances need to be reviewed before applying the transitional provision.

The IDR 500 Million Individual Taxpayer Relief Does Not Apply to an Individual PT

The Directorate General of Taxes distinguishes an Individual PT from an individual taxpayer for income tax purposes.

The relief under Article 60(2) of Government Regulation No. 55 of 2022, which excludes the first IDR 500 million of qualifying annual turnover from final income tax, applies to individual taxpayers.

An Individual PT is a corporate taxpayer. Its owner should not automatically apply that personal taxpayer relief to the company’s income tax calculation.

Newly Registered CVs Cannot Enter the New 0.5% Final Income Tax Scheme

Article 57 of Government Regulation No. 20 of 2026 does not include CVs among the corporate taxpayers entitled to newly enter the 0.5% final income tax scheme.

Existing CVs may have a different position.

Article II(1)(e) allows a CV with an unexpired eligibility period under Government Regulation No. 55 of 2022 to continue using the scheme until its remaining period ends, provided it satisfies the transitional requirements.

The fact that a CV was established before April 22, 2026, is not sufficient by itself to establish continuing eligibility.

Its tax registration history and remaining entitlement must be checked.

Standard Corporate Income Tax and CV Profit Distributions

A CV that does not use the final income tax scheme generally calculates corporate income tax on taxable income under the ordinary rules.

The general corporate income tax rate is 22%, subject to applicable statutory relief, including Article 31E of the Income Tax Law where the taxpayer qualifies.

Comparing 0.5% of gross turnover directly with 22% of taxable income is misleading. The two rates use different tax bases.

The Directorate General of Taxes also explains that qualifying profit distributions received by partners of a CV whose capital is not divided into shares are excluded from income tax at the recipient level.

This exclusion does not eliminate the CV’s own income tax obligations. Salaries, service fees, and other withdrawals must be classified according to their actual nature.

Notes From vOffice Consultants

Prepare separate revenue and profit projections before comparing tax costs. The founder cannot simply add a second shareholder while retaining the Individual PT structure.

The company must follow the procedure for changing into a standard PT with multiple shareholders.

If foreign ownership is involved, the company must also assess the foreign investment framework. Your management structure, contractual exposure, and plans for new investors can narrow the options further.

You Run the Business Alone

An Indonesian online store owner manages inventory, marketing, and customer service without another business owner.

If the business meets the micro or small enterprise criteria, an Individual PT can reflect that ownership arrangement.

The founder does not need to recruit a passive partner merely to satisfy the establishment requirements of a CV.

However, the Individual PT still has capital payment, financial reporting, tax, and licensing obligations.

You Have a Partner Who Only Contributes Capital

A catering operator manages the kitchen, staff, suppliers, and customers. A friend provides funding but does not want to participate in daily management.

A CV can accommodate an active partner and a passive capital contributor.

The partnership deed should address capital contributions, profit sharing, management authority, withdrawal arrangements, and dispute resolution.

The passive partner should understand the restrictions on participating in management before agreeing to the structure.

Two Founders Want to Manage the Company Together

Two digital agency founders both want authority to sign contracts and run the business. They also want clearly defined ownership interests.

A CV may have more than one active partner, but it must still have at least one limited partner.

If there are only two founders and both want to act as managing partners without a passive partner, that proposed CV structure does not satisfy the required partner arrangement.

A standard PT deserves consideration because ownership and management can be structured through shares and the company’s corporate organs.

You Are a Foreign Entrepreneur Exploring Indonesia

An Individual PT is not available to foreign founders. A CV is also not the appropriate foreign investment company structure for a foreign entrepreneur seeking equity ownership in an Indonesian business.

A foreign-owned limited liability company, known as PT PMA, follows a separate investment and corporate registration framework.

Foreign investors should examine the relevant ownership restrictions, investment requirements, and business licensing before selecting the entity.

Our guide to establishing a PT PMA in Indonesia explains the separate registration route for businesses involving foreign investment.

Business Address and NIB Requirements Still Apply

Registering an Individual PT or CV with the Ministry of Law does not complete every business licensing requirement.

The company must also ensure that its business activity, registered address, and licensing documents match its actual operations.

Government Regulation No. 28 of 2025 governs Indonesia’s risk-based business licensing framework and replaced Government Regulation No. 5 of 2021.

Businesses register through Online Single Submission (OSS) to obtain a Business Identification Number, known as NIB.

An NIB does not automatically authorize every regulated business activity. Depending on its risk level and sector, the business may require a standard certificate, a license, or additional requirements before operating.

Business address planning also deserves attention.

A virtual office may be suitable for certain activities if the location, zoning, supporting documents, and licensing requirements are satisfied.

Before choosing an address, read our guide on using a virtual office address for NIB registration in Indonesia.

Choose a Structure That Matches Your Ownership and Risk

An Individual PT is designed for an eligible Indonesian founder who owns a qualifying micro or small enterprise alone. A CV provides a partnership arrangement involving active and passive partners.

Neither structure should be selected solely because its initial registration appears simpler or less expensive.

Write down who will own the business, who will manage it, how major contracts will be signed, and whether additional owners are expected.

Then review the capital obligations, ongoing reporting requirements, and applicable 2026 tax treatment.

If you are an eligible sole founder and want to incorporate, review the Individual PT registration service from vOffice to understand the available establishment packages.

If your business will operate through active and passive partners, compare the scope of the CV company registration service before preparing the partnership deed.

Ready to Establish an Individual PT in Indonesia?

Compare registration documents, package inclusions, and licensing support with vOffice, trusted by 50,000+ clients.

View Individual PT Packages

Discuss PT Registration on WhatsApp

References

Republic of Indonesia.
